Should I reserve my business name before forming an LLC?

Last updated September 27, 2026

Name reservation is usually optional. Learn when to reserve a business name, when to form the LLC instead, and what to check first.

Usually, you do not need to reserve your business name if you are ready to form your LLC soon. A name reservation is only a temporary hold with your state. It does not create your LLC, protect your brand like a trademark, give you a business license, or let you collect sales tax. For most founders, the better move is to check the name first, then file the LLC using that name. A reservation can make sense if you found a name you want, but you are not ready to file yet.

Steps

  1. Search your state’s business name database. Make sure no other business in your state is already using the exact name or a name that is too similar under your state’s rules.

  2. Check the name beyond your state filing. Search online, check domain availability, and look for obvious trademark conflicts. State approval does not mean the name is safe to use everywhere.

  3. Decide if this is your legal name or brand name. Your LLC name is the legal name. Your public-facing name can be different, but you may need a DBA if you sell under that other name.

  4. If you are ready to form, skip the reservation and file the LLC. Filing the LLC normally locks in the name for that entity once the state approves it.

  5. If you are not ready, consider a reservation. This can hold the name temporarily while you finish decisions like ownership, address, registered agent, or operating agreement.

  6. After approval, use the exact LLC name consistently. Use it on your EIN application, bank account, tax accounts, permits, and contracts unless a form asks for your DBA or trade name.
