Do I have to file taxes for my LLC if I made no money?

Last updated September 27, 2026

A no-revenue LLC may still have filing duties. Learn what to check for federal taxes, state reports, sales tax, and payroll accounts.

Maybe. Having no revenue does not always mean there is nothing to file. Your filing duties depend on your LLC’s tax classification, your state, whether you had expenses, and whether you registered for accounts like sales tax or payroll. Some single-owner LLCs with no activity may have little or no separate federal income tax filing. But state annual reports, franchise taxes, registered agent renewals, sales tax zero returns, or payroll filings can still apply. Treat “no money made” as a reason to check carefully, not as a reason to ignore filings.

Steps

  1. Confirm your LLC tax type. Are you a single-member LLC, multi-member LLC, or an LLC that elected corporate tax treatment? This affects what federal forms may apply.

  2. List what actually happened. Write down whether you had sales, refunds, startup expenses, equipment purchases, subscriptions, mileage, inventory, contractors, or owner contributions.

  3. Check state LLC requirements. Many states require some kind of annual report, renewal, franchise tax, or information filing even when the business had no income.

  4. Check sales tax accounts. If you registered for a seller’s permit or sales tax account, you may need to file a zero return for periods with no taxable sales.

  5. Check payroll accounts. If you registered for payroll taxes, hired employees, or paid yourself through payroll, you may have filing duties even during quiet periods.

  6. Keep your records anyway. Save formation documents, receipts, bank statements, invoices, and notes showing there was no revenue. Clean records make tax season much easier.

  7. Ask before skipping a filing. Penalties often come from missed filings, not just unpaid tax. If you are unsure, verify before the due date.
