Can I start selling while my LLC is still pending?

Last updated September 27, 2026

Learn what to do if your LLC filing is pending and you want to start selling before approval.

You can often start selling before your LLC is approved, but you should be clear about what you are selling as: usually yourself as a sole proprietor until the LLC officially exists. Do not present the business as an LLC until your state approves it. Also, forming an LLC is only one piece. Depending on what you sell and where you operate, you may need a business license, seller’s permit, sales tax registration, professional license, or insurance before taking your first payment. The biggest risk is not that you “started too early.” It is that you collected money without the license, tax account, or protection your business actually needed.

Steps

  1. Check whether your LLC is officially approved
Look for the approval notice, stamped articles, certificate of organization, or similar state confirmation. A payment receipt is not the same as approval.

  2. Do not use “LLC” publicly until approval
Until the state approves the filing, avoid using “LLC” on invoices, contracts, your website, or payment accounts.

  3. Decide if you are comfortable selling as a sole proprietor for now
If you sell before approval, you are typically operating under your own legal name unless you have a registered DBA or trade name.

  4. Check license and permit needs before taking payment
This matters most for food, beauty, health, childcare, construction, regulated services, local in-person businesses, and anything requiring sales tax collection.

  5. Set aside money for taxes from the first sale
Your tax obligations can begin before the LLC is approved. Track income and expenses from day one.

  6. After approval, update your setup
Get or confirm your EIN, open your business bank account, update contracts and payment processors, and move future income under the LLC.
